Terms of Service

The service

SoldByAI helps your brand get found and chosen across AI shopping engines. We measure your visibility across AI engines, diagnose gaps, recommend fixes, and track your progress in a dashboard. SoldByAI runs as a parallel layer — your own store, URLs, checkout, and design are unaffected.

Accounts

You need an account to use the service. Provide accurate information, keep your credentials secure, and you're responsible for activity under your account. One account per organization unless we agree otherwise.

Plans, billing & payment

Paid plans are billed on the cycle shown at checkout. Prices are stated and charged in CNY, payable by international card; the payment methods available to you are those shown at checkout. Support for additional methods such as WeChat Pay, Alipay, and UnionPay is planned and will appear at checkout once available. Subscriptions renew automatically at the end of each cycle until you cancel; one-time payments never auto-renew. Fees are exclusive of taxes where applicable. Cancellation and refunds are set out in the two sections below.

Cancellation

You can cancel at any time from the subscription management area of your account. Cancellation takes effect at the end of the period you have already paid for: your service continues uninterrupted until then, and no further charges are made afterwards. A monthly subscription ends at the close of that month; an annual subscription ends at the close of the year you have paid for.

You do not need to contact us to cancel, and we do not ask for a reason. If you cannot reach the subscription management area for any reason, write to hello@soldby.ai and we will cancel it for you.

Refunds and payment disputes

Fees for a billing period that has already begun are not refunded. Cancelling stops future charges; it does not refund the period you are currently in, and you keep access for the rest of it.

If the service is unavailable for an extended period for reasons on our side, write to hello@soldby.ai — we handle those case by case.

If you have a question about any charge, please contact hello@soldby.ai first. We can usually resolve a billing question faster than a card dispute, and we would rather fix it directly.

Your content & data

Your catalog and store data remain yours. You grant SoldByAI a limited license to process them solely to provide the service to you. You can export your structured catalog at any time. We do not claim ownership of your data and do not use it to train public AI models.

To make your catalog discoverable and usable by AI shopping agents, you authorize SoldByAI to publish the structured catalog data you provide (products, specifications, prices, availability, and related metadata) through our machine-readable endpoints to AI agents and platform partners. This is part of the service, not a transfer of ownership — your data remains yours. You can ask us to remove your catalog from these endpoints at any time, effective for future requests.

Acceptable use

When using the service, you agree to: provide data you have the right to submit; not use the service for illegal, infringing, or abusive purposes; not attempt to disrupt, reverse-engineer, or circumvent security, rate limits, or access controls; and not resell or misrepresent the service. We may suspend accounts that breach these terms.

Our intellectual property

The SoldByAI platform, methodology, scores, software, and site content are owned by SoldByAI and protected by intellectual-property laws. Third-party brands and trademarks mentioned in examples belong to their respective owners and are used for illustration only.

AI platforms — what we can and can't promise

SoldByAI optimizes how ready your catalog is to be found and cited by AI engines, and measures the results. The AI answer layer itself is determined by each third-party model (such as ChatGPT, Perplexity, Gemini, and the major Chinese engines), which we do not control. We therefore do not guarantee any specific ranking, citation, or placement on any AI platform. Metrics shown in examples illustrate the method and are not a promise of results for your catalog.

Service availability

We work to keep the service available and reliable, and will give reasonable notice of planned maintenance. The service is provided on an "as is" and "as available" basis to the extent permitted by law.

Disclaimers & limitation of liability

To the maximum extent permitted by law, SoldByAI is not liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the service is limited to the fees you paid for it in the twelve months before the claim.

Indemnification

You agree to indemnify SoldByAI against claims arising from data you submit without the right to do so, or from your breach of these terms or violation of law.

Termination

You can stop using the service and close your account at any time. We may suspend or terminate access for breach of these terms or where required by law. On termination, you can export your data for a reasonable period.

Merchant agreements

If you sign a SoldByAI merchant agreement (pilot or service agreement, with an accompanying DPA and any SLA), those documents govern that engagement and prevail over these terms where they conflict.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which SoldByAI is established. Any dispute shall first be addressed through good-faith negotiation; failing that, it shall be resolved by the competent courts of that jurisdiction.

Changes to these terms

We may update these terms as the service evolves or the law changes. We'll post the updated version with a new "last updated" date; continued use means you accept the update.
